Agreement to Terms

By accessing or using any services provided by TimelessSpaces.AI™, including TimelessHome.AI™, TimelessOffice.AI™, TimelessShopping.AI™, and TimelessLandscapes.AI™ (collectively, the “Services” or “SaaS Solutions”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Services.

Intellectual Property Ownership

Ownership Structure: All intellectual property rights in and to the Services are owned by TimelessAssets.AI LLC. TimelessSpaces.AI™ LLC operates as the operating company under a perpetual, exclusive license granted by TVR LLC to use, operate, and sublicense the intellectual property in connection with the Services.

Exclusive Rights: TimelessAssets.AI LLC and TimelessSpaces.AI™ LLC (collectively, “Company”) exclusively own all rights, title, and interest in and to:

  • The SaaS Solutions and all associated intellectual property rights
  • All derivative works, improvements, or modifications to the Services
  • Company’s know-how, methodologies, processes, and materials
  • All trademarks, service marks, trade names, logos, and brand identities
  • All patents, patent applications, and patentable inventions
  • All copyrights, including software code, documentation, and content
  • All trade secrets and confidential business information

No rights or licenses are granted to you except as expressly set forth in these Terms. Your use of the Services does not grant you ownership of any intellectual property rights in the Services or the content you access.

Restrictions on Use

You agree that you will not, and will not permit any third party to:

  • Reverse Engineer: Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Services or any part thereof
  • Create Derivative Works: Modify, translate, adapt, or create derivative works based upon the Services or any part thereof
  • Copy or Reproduce: Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Services except as expressly permitted
  • Circumvent Security: Remove, delete, alter, or obscure any trademarks, copyright notices, or other proprietary rights notices from the Services
  • Competitive Use: Use the Services to develop a competing product or service, or copy any features, functions, or graphics of the Services
  • Unauthorized Access: Access or use the Services in any manner that could damage, disable, overburden, or impair the Services

These prohibitions provide contractual enforcement mechanisms supplementing applicable trade secret, copyright, and other intellectual property laws.

License to Use Services

Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal or internal business purposes. This license does not include any right to:

  • Sell, resell, or commercially exploit the Services
  • Distribute, publicly perform, or publicly display the Services
  • Modify or make derivative works based upon the Services
  • Use the Services for any unlawful purpose

User Content

You retain ownership of any content you upload to the Services, such as photographs of your spaces. By uploading content, you grant Company a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Services.

If you choose to make any designs or visualizations “public” on our platforms, you grant Company a perpetual, worldwide, royalty-free license to use such content for any purpose, including marketing and promotional activities, as further described in our Privacy Policy.

Third-Party Content and Advertiser Property

When our Services display products, brands, or content from our advertising partners and affiliate program participants, all such content remains the property of the respective advertisers and partners.

We use this content solely under license from our partnership agreements and applicable affiliate program terms. You acknowledge that:

  • Product images, descriptions, pricing, and brand information are owned by the respective manufacturers, retailers, or licensors
  • We do not claim ownership of any third-party trademarks, logos, or copyrighted materials displayed in our Services
  • All advertiser data and content is confidential and subject to our partner agreements
  • You may not use, copy, or reproduce third-party content displayed through our Services without permission from the rights holder

Affiliate Disclosure and FTC Compliance

Important Disclosure: We participate in affiliate marketing programs and may earn commissions from purchases made through links displayed in our Services.

When you use our Services to visualize products in your spaces:

  • Affiliate Relationships: Some products shown may be affiliate links. We may earn a commission if you purchase products through these links at no additional cost to you.
  • Product Recommendations: Product selections and recommendations may be influenced by our affiliate partnerships, though we strive to provide relevant and high-quality options for your design needs.
  • Independence: Our affiliate relationships do not affect the functionality of our AI Master Designer technology or the accuracy of product visualizations in your spaces.
  • Transparency: We disclose these relationships in compliance with Federal Trade Commission (FTC) guidelines and applicable consumer protection laws.

By using our Services, you acknowledge and understand these affiliate relationships and consent to this business model.

SMS Text Messaging Consent

By sending photos or content to us via SMS text message, you expressly consent and agree to the following:

  • Opt-in: You are opting in to receive text messages from TimelessSpaces.AI™ and its associated brands (including TimelessHome.AI™, TimelessOffice.AI™, TimelessShopping.AI™, and TimelessLandscapes.AI™), including but not limited to service updates, design notifications, promotional messages, and customer support communications.
  • Message frequency: Message frequency may vary. Message and data rates may apply as determined by your mobile carrier.
  • Opt-out: You may opt out of receiving text messages at any time by replying STOP to any text message you receive from us. Upon receiving your STOP request, we will send you one final confirmation message and will not send you further text messages unless you opt back in.
  • Help: For assistance, reply HELP to any text message or contact us at press@timelessspaces.ai.
  • Carrier liability: We are not liable for any delays or failures in receipt of text messages due to issues with your mobile carrier or other factors outside our control.

By using SMS to interact with our Services, you represent that you are the account holder for the phone number you are using or have the account holder’s permission to use the number for this purpose.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY, TVR LLC, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Company, TVR LLC, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Termination

Company may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Clark County, Nevada.

Changes to Terms

Company reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
